Annual Meeting 2017

The ordinary Annual Meeting (AM) is the meeting of the shareholders. It generally takes place once a year. Access to the AM and voting rights are provided only for holders of registered shares and their representatives. As a rule, the AM is called by the Board of Management at least 30 days plus time for registration period in advance.

The AM is a forum for discussions between the shareholders and the Board of Management (based on the Agenda) as well as resolutions on the items of the Agenda, which has been announced prior to the AM.

The most important functions of the AM are the resolutions relating to the allocation of the distributable profit, the ratification of the actions of the members of the Board of Management and the Supervisory Board, appointing auditors, and the appointment of the representatives of the shareholders for the Supervisory Board.

The passing of resolutions generally requires a simple majority, but no quorum.

The convocation of the AM including the Agenda is published at least on the 37th day before the AM in the Federal Gazette (Bundesanzeiger). The announcement of convocation of the ordinary Annual Meeting of Daimler AG was issued on February 15, 2017.

The Agenda in particular lists the significant resolution items for the AM.

The Agenda is announced by way of its publication in the Federal Gazette (Bundesanzeiger). In addition, the Company is obligated to communicate the convocation of the AM including the Agenda to all shareholders registered in the share register.

After publication of the Agenda, shareholders may raise countermotions to proposals of the Board of Management and/or Supervisory Board concerning certain items of the Agenda and submit election proposals. Daimler AG will publish received countermotions and election proposals on its website at www.daimler.com/ir/am2017/motions. Countermotions and election proposals, which were not received by Daimler AG before March 14, 2017 midnight, need not be made publicly accessible.

All shareholders registered in the share register receive the convocation of the AM including the Agenda, the information for registration and appointment of proxy and, in case of postal delivery, a pre-paid return envelope addressed to Daimler Shareholder Service. Timely registration in conjunction with the record in the Company's share register authorizes the shareholder to take part in the AM and to exercise his/her voting right.

The registration must be received by the Company at one of the addresses stated in the convocation of the AM or via the e-service for shareholders until Friday, March 24, 2017 at the latest.

Shareholders not attending the AM in person have the option of voting by proxy, for example, the voting proxies appointed by the Company, a bank, a shareholders’ association or a third party. Timely notification of the intention to attend the AM is required also in this case, either by the shareholder or a proxy.

If a bank or shareholders' association is appointed as proxy, the proxy authorization and, where applicable, voting instructions must be sent directly to the bank or shareholders’ association. Before transferring any voting rights, shareholders should make sure that the bank or shareholders’ association is prepared to exercise the voting rights on the shareholder's behalf.

If neither a bank nor a shareholders’ association nor another equivalent person or institution as defined by Section 135, Subsections 8 and 10 of the German Stock Corporation Act (Aktiengesetz), but another third party is authorized as a proxy, the proxy authorization and, if applicable any revocation of such authorization are to be communicated either in writing or via electronic media (“Textform”) to the address, fax number or e-mail address stated in the convocation of the AM or in writing or via electronic media (“Textform”) to the proxy. In the latter case, the Company must be furnished with proof in writing or via electronic media (“Textform”). Proxy authorisation can also be granted in the context of ordering admission tickets via the e-service for shareholders. Shareholders can find further information on this and, in particular, regarding the use of the e-service for shareholders, in the convocation of the AM.

Alternatively, a shareholder may appoint the company proxies and give voting instructions to those proxies, who will vote solely according to the instructions of the shareholder at the AM. The shareholder can issue the authorization of company proxies and the voting instructions via the e-service for shareholders, via telefax, e-mail or post. Shareholders can find further information on this in the convocation of the AM.

These are employees of the company authorized by the shareholder, who will vote at the AM only in accordance with the voting instructions issued to him/her. Daimler AG has appointed two employees as company proxies.

Shareholders, who cannot attend the AM in person, may make use of absentee voting. Absentee voting enables shareholders to cast their votes in writing or via electronic media ("Textform") preferably by using the reply form or to vote online through the e-service for shareholders. Shareholders using the absentee voting are not attending at the AM, and thus are not recorded in the attendance list. However, his/her shares are among the share capital represented in the AM.

Authorized banks, shareholders’ associations and equivalent persons or institutions as defined by Section 135, Subsections 8 und 10 of the German Stock Corporation Act (Aktiengesetz) who professionally offer shareholders their services in exercising voting rights at the AM may also vote by absentee voting.

Through the e-service for shareholders available at www.register.daimler.com, our shareholders can register for the AM, order and print out admission tickets, issue a proxy in the course of ordering an admission ticket, cast their votes by absentee voting, issue proxy and voting instructions to the company proxies prior to an AM and, if previously authorized in the e-service for shareholders, revoke proxies or amend voting instructions.   • switch their AM invitations to e-mail
  • get access to the share register
  • access and if necessary, update their personal data, and
  • call up tailored information

Showing his admission ticket a shareholder can demonstrate his/her authorization to attend the AM. However, receipt of an admission ticket is no condition for attending the AM or for exercising voting rights but only conduces to facilitate the organization of the AM.

Shareholders can order admission tickets using one of the addresses stated in the convocation of the AM or via the e-service for shareholders. Orders must be received by the company until Friday, March 24, 2017 at the latest. Also those shareholders who use our e-service for shareholders can print their admission tickets themselves.

Daimler offers a mobile ticket to the Annual Meeting 2017 via the e-service for shareholders. Consequently, to attend the Annual Meeting, an admission ticket on paper becomes negligible.

The participants receive the mobile ticket as an e-mail with Quick-Response (QR) code on their mobile device, e.g. smartphone. Access to the AM will be granted after the mobile ticket on the screen of the smartphone has been presented at the entrance. Please note that the mobile ticket is only valid in connection with a valid passport or identity card.

On reporting to one of the shareholders' registration desks on the day of the AM, each admission ticket will be exchanged for a pad of voting cards. Each holder of a mobile ticket receives a pad of voting cards.

The shareholder is thereby registered as present and is therefore also entitled to vote. The pad of voting cards contains among other things voting cards for the items contained on the Agenda and cards for granting proxy. The back cover of the pad of voting cards serves as a certificate of attendance.

This is the right to take part in voting at the AM, which is conferred to a share. Each share of Daimler AG represents one vote.

Exercising the right to vote is the basic entitlement of every shareholder. He/She may also delegate this right to a third party, particularly to employees identified by the company (Company proxy), a shareholder's association or the bank managing his portfolio by way of proxy.

The right to exercise the vote is determined according to the Articles of Incorporation of Daimler AG by the shareholding registered in the share register on the date of the AM. Furthermore the respective shareholder may only vote at the AM if he/she registered in due time. This shareholding will correspond the holding as per the registration deadline on March 24, 2017 midnight, since changes to the share register are not made for technical reasons from the end of March 24, 2017 up to the end of the Annual Meeting (registration stop).

Electronic database that records the owners of registered shares. The custodian banks electronically communicate changes of ownership. Entries into the share register may be done in two possible ways:

a) The shareholder himself is automatically registered with his name, address, date of birth and number of shares, or

b) the shareholder objects and lets his custodian bank be registered and is not mentioned in the share register himself.

For voting, the number of shares registered at the day of the AM is decisive. Furthermore the respective shareholder may only vote at the AM if he/she is registered in due time. This shareholding will correspond the holding as per the registration deadline on March 24, 2017 midnight, since changes to the share register are not made for technical reasons from the end of March 24, 2017 up to the end of the Annual Meeting (registration stop).

The language to be used at the AM is German.

A simultaneous English translation via headphones will be provided in a specially designated area in the Plenum for all English - speaking meeting participants. In addition, speeches in English will be simultaneously translated and conveyed over loudspeakers in the halls.

A live webcast of the introductory statements made by the chairman of the Supervisory Board Dr. Manfred Bischoff and the speech given by the Chairman of the Board of Management, Dr. Dieter Zetsche will be available on www.daimler.com/ir/am2017 and afterwards available online as a video recording.

Invitations

The dispatch of the around 1 million invitations including the convocation documents to the AM will begin end of February / early March. Due to the number of mailings several days will be required.

For shareholders recorded in the share register between February 21 and March 14, 2017 we conduct two supplemental dispatches during mid March.

Not having received an invitation to the AM can have miscellaneous causes. A potential cause might be that the stock was purchased after the dispatch dates for the invitations to the AM or that the invitation to the AM could not have been delivered.

Your personal data registered in the share register (name, address, date of birth and shareholdings) are communicated by your custodian bank or their head offices via the Central Settlement Agent at Clearstream Banking AG (CASCADE RS). If you have received more than one invitation including the convocation documents to the AM with different shareholder numbers you can reduce the number of mailings by combining the shareholder numbers using the e-service for shareholders.

Admission Tickets

The Daimler Annual Meeting 2017 will be held in the CityCube Berlin, Entrance Messedamm 26, 14055 Berlin, Germany.

The AM is the most important event in the year for a German stock corporation, during which the stockholders are able to put their views to the senior management and to pass resolutions.

Therefore, the AM is primarily an event for the stockholders or their representatives only.

By showing the Admission Ticket a shareholder can demonstrate his/her authorization to attend the AM. However, receipt of an Admission Ticket is no condition for attending the AM or for exercising voting rights but only conduces to facilitate the organization of the AM.

Shareholders can order Admission Tickets using one of the addresses stated in the convocation to the AM. Orders must be received by the Company until Friday, March 24, 2017 at the latest.

Arrival

Travel to and from the meeting is to be organized by the participating shareholders themselves and outside of local transport at their own expenses. A shuttle bus transfer service will be provided from the car park P 18 to the entrance of the CityCube Berlin.

Car drivers are required to display the fine particle stickers on their car in Berlin.

Daimler highly recommends to make use of the public transport infrastructure in Berlin.

Free ticket for public transportation within Berlin city limits will be included in the admission ticket and is only valid in conjunction with a proof of identity. You will find the details on the admission ticket.

The back cover of the pad of voting cards serves as a certificate of attendance. The printing of a certificate of attendance on the spot is no longer available.

The AM of Daimler AG will take place on Wednesday, March 29, 2017 at the CityCube Berlin, Entrance Messedamm 26, 14055 Berlin, Germany. (http://www.messe-berlin.de/en/Organizers/OurLocations/CityCubeBerlin/)

The event will start at 10.00 a.m., admission at 08.00 a.m., both CEST.

We expect a large number of participants. Daimler recommends that you arrive early, also to have the benefit of and to support a quick admission process.

The Board of Management and the Supervisory Board will be seated in the Plenum, where the discussion with the shareholders will take place. The Plenum has approx. 4,000 seats. In case all seats are occupied our shareholder service personnel will then direct incoming shareholders to the next hall with vacant seats. All halls are equipped with audio and video transmission of the speeches and dialogues from the Plenum.

Disabled persons, for example people in wheelchairs, can of course take part in the AM. The shareholder service personnel of Daimler will be happy to give assistance.

The parking lot P 18 next to gate (Tor) 25 at Jafféstrasse will be reserved for participants of the AM. Please follow the signs south of the fair area to gate (Tor) 25. You can get to the CityCube and back either by walking or by using our free bus shuttle.

Handicapped participants are also requested to use the parking lot P 18. The shuttle buses will be handicapped accessible.

Fares to the venue (Messe) with public transportation

Free tickets for public transportation within Berlin will be included in the admission ticket. You will find the details on the admission ticket. The transportation ticket is only valid in conjunction with a proof of identity.

At present, users of the mobile ticket on their smartphone will not receive a free ticket for public transportation within Berlin.

Addresses and Countermotions

Requests to speak can contain orations, questions for the Board of Management or motions, which must be conveyed orally to the meeting at one of the address points.

A shareholder may request permission to speak at the AM by submitting this in the Plenum at the request desk. You will then be added to the list of speakers and the Chairman will call you well in advance of your address. Your address must be conveyed orally at one of the address points in the Plenum. A specific point of time can not be ensured. The Chairman will explain the procedure at the beginning of the meeting.

A shareholder may withdraw his/her request to receive permission to speak at any time. Withdrawal must be registered at the request desk.

The discussion between shareholders and the management regarding all items of the Agenda will take place as a general debate but in sections. First a number of shareholders will deliver their addresses, then the management will give answers to this section of questions before calling the next speakers.

This will enable the Company to prepare a reply. But even then it is mandatory for you on the day of the AM to report to a request desk and to convey your questions and/or motions orally.

Depending on the length of the list of speakers, the Chairman may set an appropriate time limit for individual comments or questions. Moreover, the Chairman may decide to end the debate if this is deemed necessary for the proper execution of the AM. The number of shares held will not be considered for the length of the permission to speak or to ask questions.

Upon request, each shareholder is to be given information during the AM by the Board of Management concerning the affairs of the Company including the legal and business relations of the Company with its subsidiaries, as well as the situation of the Group and of the companies included in the consolidated financial statements, provided that such information is required to make a proper appraisal of the relevant item on the Agenda.

The Board of Management may refuse to give information only under certain conditions pursuant to Section 131, Subsection 3 of the German Stock Corporation Act (Aktiengesetz) (e.g. if, according to a reasonable commercial judgment, disclosing the information is likely to result in material disadvantage to the Company or one of its subsidiaries; if the Board of Management would commit an offence by providing such information; or if the information is fully accessible on the Company’s internet website for at least seven days before the beginning of the AM and is also accessible during the AM).

If information is refused to a shareholder, he/she can demand that his/her question and the reason for which the information was refused are stated in the minutes of the AM.

Furthermore, pursuant to Section 131 Subsection 2 Sentence 2 of the German Stock Corporation Act (Aktiengesetz) associated with Section 15 Paragraph 3 of the Company’s Articles of Incorporation, the Chairman of the AM may set an appropriate time limit with respect to the right of shareholders to speak and ask questions at the AM. In particular, at the start of or during the AM, he is authorized to set an appropriate time limit for the duration of entire AM, for discussion of individual Agenda items and for individual comments or questions. Moreover, the Chairman may decide to end the debate if this is deemed necessary for the proper execution of the AM.

Shareholders can submit countermotions and/or election proposals to the items on the Agenda. The countermotions and/or election proposals have to refer to one or several items of the Agenda.

Countermotions and/or election proposals that are submitted at least 14 days prior to the AM, meaning latest March 14, 2017, must be made accessible by the Company in principle.

Legal regulations do not provide for a separate mailing of countermotions and election proposals. These only have to be made “accessible”. Daimler therefore continuously publishes submitted countermotions and election proposals that are to be made accessible, including the shareholders’ names and reasons that are to be made accessible, on the internet at www.daimler.com/ir/am2017/motions. Any statements of position by the Management will also be published at the same internet address.

But even if countermotions and/or election proposals have been made accessible by the Company, it is mandatory that on the day of the AM the countermotion and/or the election proposal is presented orally by the shareholder or an authorized proxy.

Countermotion and election proposal requirements may be summarized as follows:

Eligibility - Any registered shareholder or authorized proxy may submit countermotions and/or election proposals. There is no minimum share ownership requirement.

Time requirement - Countermotions and/or election proposals that have to be made accessible and that are received by the Company 14 days prior to the day of the AM, meaning latest on March 14, 2017, will be published, including the shareholders’ names and reasons that are to be made accessible, after they are received on the internet at www.daimler.com/ir/am2017/motions.

Any countermotions and/or election proposals that are otherwise addressed need not to be made accessible.

Statement of Grounds - Countermotions concerning certain items of the Agenda must be accompanied by a reason. The reason for a permissible countermotion must not exceed 5,000 characters; if this size is exceeded the reason for the countermotion must not be made accessible. Election proposals need not be accompanied by a reason.

Publication - Countermotions and/or election proposals that have to be made accessible will be published, including the shareholders’ names and reasons that are to be made accessible, on the internet at www.daimler.com/ir/am2017/motions. Any statements of position by the Management will also be published at the same internet address. Legal regulations do not provide for a separate mailing.

Similar Countermotions - In case that several shareholders have submitted countermotions for the same resolution items, the Board of Management may combine countermotions and their respective reasons.

Countermotions not be made accessible - Countermotions and election proposals that are received by the Company in due time need not to be made accessible under certain conditions pursuant to Section 126, Subsection 2 of the German Stock Corporation Act (Aktiengesetz) (e.g. if the Board of Management would commit an offence by making such matters accessible; if the countermotion would lead to a resolution of the AM in violation of applicable law or of the Articles of Incorporation; or if in the past two years at two Annual Meetings, the shareholder notified the Company of a countermotion but did not present that countermotion and did not have it presented). Besides the conditions pursuant to Section 126, Subsection 2 of the German Stock Corporation Act (Aktiengesetz), an election proposal submitted in due time also does not need to be made accessible if it does not include the proposed candidate’s name, current profession and place of residence. Proposals for the election of Supervisory Board members also do not need to be made accessible if they are not accompanied by details of the proposed candidate’s memberships of other statutory supervisory boards as defined by Section 125, Subsection 1, Sentence 5 of the German Stock Corporation Act (Aktiengesetz).

Voting - You can support a countermotion to items of the Agenda by voting »No« on the respective Agenda items. However, if countermotions / election proposals that do not only reject a proposal of the Management and therefore are marked by a capital letter are voted on a separate vote in the AM, you can support them by making a cross the respective box marked with the capital letter.

Participation in the Annual Meeting

Those shareholders are entitled to attend the AM and to exercise their voting rights who are listed as shareholders in the Company’s share register on the day of the AM and who have notified the Company of their intention to attend the AM such that the notification is received by the Company at the latest by 12:00 p.m. (midnight) CEST on March 24, 2017.

The e-service for shareholders of Daimler at www.register.daimler.com enables shareholders who are registered in the share register to notify the Company of their intention to attend the AM, to order or print Admission Tickets or to authorize a third party as proxy in the context of ordering Admission Tickets or to cast their vote by absentee voting without attending the AM or to issue proxy and voting instructions to the Company proxies.

Using the e-service for shareholders, he/she can also, if previously submitted or permitted in the e-service for shareholders revoke or amend absentee voting as well as proxy and voting instructions issued to the Company proxies. The Company proxies will vote on behalf of and in accordance with the voting instructions of the shareholder. The failure to check a "yes" or "no" box for an Agenda item will be registered as "abstention" for this Agenda item.

In the past the AM lasted approx. 10 hours.

The Chairman is responsible for conducting and for duly processing of the AM. He will open and conduct the AM, provide information about procedures and formalities (e.g. requests to address the AM), introduce the speech by the Chairman of the Board of Management, conducts the discussion and, if there is a large number of requests to receive permission to speak, set restrictions on the length of time allotted for speaking or asking questions in order to ensure the Agenda can be followed. Also, the Chairman can cancel such restrictions or take other measures to direct the meeting, like closing the list of speakers or deciding to terminate the debate. In addition, the Chairman of the meeting leads the voting and announces the resolutions.

Admission at 08.00 a.m., the meeting will start at 10.00 a.m., CEST.

We expect a large number of participants. Daimler recommends that you arrive early, also to have the benefit of and to support a quick admission process.

Schedule:

•Formal welcome as well as introductory and explanatory remarks concerning affairs of the Board of Management and the Supervisory Board as well as the AM (Chairman of the Meeting and of the Supervisory Board, Dr. Manfred Bischoff).

•Then the Chairman of the Board of Management and Head of Mercedes-Benz Cars, Dieter Zetsche will present his report on the previous financial year and the development of the Company.

•After this presentation the discussion of the Agenda items with the stockholders will begin. This discussion will take the form of a general debate, but in sections; i.e. several shareholders will take the floor consecutively, after which their questions will be answered. In the next round after this further shareholders will be called to speak.

•Following the discussion (usually in the evening) votes will be taken on the Agenda items. When the votes have been counted the results will be announced and the AM will be closed.

The opening address by the Chairman of the Meeting and the speech of the Chairman of the Board of Management at the beginning of the AM will be video webcast live on the internet at www.daimler.com/ir/am2017 and may be accessed as video on demand afterwards.

A complete webcast is not envisaged.

The language to be used at the AM is German.

English-speaking stockholders are kindly requested to make themselves known to the personnel at the admission desk in the entrance area. They will then be asked to proceed to a special entrance to the Plenum. In a designated area in the Plenum, radio headphones will be available which enable the shareholders to receive a simultaneous/consecutive translation of the proceedings from German into English.

Discussions in English will be simultaneously translated from English into German and be transmitted in the German translation via the local loudspeakers.

The back cover of the pad of voting cards serves as a certificate of attendance. The printing of a certificate of attendance on the spot is no longer available.

Yes - should you temporarily leave the AM, this will be registered using the access-/departure card (last card) in your pad of voting cards. A re-entry is possible upon presentation of the pad of voting cards.

No, this is not envisaged and not permitted.

There are no numbered seat tickets. Reservations are also not available.

The Board of Management and the Supervisory Board will be seated in the Plenum, where the discussion with the shareholders will take place. The Plenum has approx. 4,000. In case all seats are occupied, our shareholder service personnel will direct incoming shareholders to an additional hall with vacant seats. All additional halls are equipped with audio and video transmission of the speeches and dialogues from the Plenum.

Several warm and cold snacks, also vegetarian, sweet pastries as well as warm and cold (non-alcoholic) beverages are available.

This is not known to the Company before the AM, as the AM spokespersons using their pad of voting cards only first call upon the foreseen desk and are entered into the speakers lists during the AM.

Speakers will not be called in any particular order. Furthermore, it is not possible to guarantee a specific time for speakers to take the floor.

If a shareholder leaves the meeting temporarily, the pad of voting cards permits re-entry. Should voting take place during this time the shareholder is not present and cannot exercise his voting right in person.

If a shareholder leaves the meeting early, i.e. without intending to return, the pad of voting cards must be given to staff at the exits.

In this case however, the shareholder has two possibilities to transfer his voting rights:

1. He can authorize another person present to vote on his behalf. For this, the shareholder completes the blue proxy card, removes the completed blue proxy card from the pad of voting cards and hands it in at one of the two proxy counters when leaving the AM. The pad of voting cards is passed on to the authorized person.

2. He hands the completed orange-coloured Proxy/Instruction Card along with his voting instructions for Company proxies in at one of the two proxy counters at the entrance/exit foyer. The Company proxies will then vote in accordance with his voting instructions. The shareholder leaves his pad of voting cards also with the official at the proxy desk when leaving the AM.

The voting right, which is linked to the shareholding, entitles the shareholder to vote in the AM with the proportion of shares held. Each item on the Agenda, which is to be voted on, is assigned a "yes" and a "no" box on the collective voting cards. Abstentions will be registered in the event of failure to submit the relevant voting card or to check a "yes" or "no" box. Provided the Chairman of the Meeting instructs nothing different, voting is based on the addition procedure, i.e. all "yes" and all "no" votes are counted for each item on the Agenda. If both boxes for the same item are checked by mistake, the vote will be regarded as invalid. The result of the vote is announced before the end of the AM by the Chairman and published on the internet the day after.
