Already on March 13, 2020, Daimler AG had canceled the company's Annual Meeting, originally announced for April 1, 2020. The decision was taken against the background of the worldwide spread of the coronavirus (SARS-CoV-2). The most relevant questions and answers at a glance.

The postponement of the Annual Meeting will inevitably lead to a corresponding postponement of the resolution on the allocation of profit and of the dividend payment.

Daimler AG’s Articles of Incorporation allow interim distribution of unappropriated profit on certain legal conditions. One of these legal conditions is a net profit (without withdrawal from retained earnings) in the commercial income statement of the previous financial year. Daimler AG’s commercial income statement for the financial year 2019 shows a commercial net loss. Thus, an interim distribution is impossible.

Yes, you will be invited to the Annual Meeting again. As soon as the new date for the Annual Meeting has been determined, we will inform you about the specific date here, too.

If you have already ordered an admission ticket, cast your vote by absentee voting, issued proxies and voting instructions to the Company proxies or to a bank/association of shareholders/other intermediary, this will unfortunately cease to be valid.

But, after the re-convening of the Annual Meeting 2020, you can again order admission tickets, cast your vote by absentee voting or issue proxies and voting instructions with the reply form enclosed with the new convocation or via the e-service.

Unfortunately, due to the postponement of the Annual Meeting 2020, all countermotions and election proposals from shareholders as defined by Sections 126 and 127 of the German Stock Corporation Act on the items of the agenda of the Annual Meeting submitted and made available so far will cease to be valid.

After the re-convening of the Annual Meeting, countermotions and election proposals can be submitted again. Please note the further information in the new convocation in due time.

Due to the postponement of the Annual Meeting, the previous convocation and agenda have ceased to be valid.

As of publication of the re-convening of the Annual Meeting and the new agenda all documents to be made accessible will be available again.

After weighing all aspects, especially the health of all participants and after the order of the responsible health department, we have decided not to hold the company’s Annual Meeting as scheduled on April 1, 2020, but to postpone it to a later date in 2020.

In the meantime, all public and non-public events and gatherings in Berlin with more than 50 participants have been prohibited until April 19, 2020.

If you decided to attend the Annual Meeting convened for April 1, 2020 in person, after your own due consideration and irrespective of the extremely dynamic development, we unfortunately cannot reimburse any related costs incurred by you.
